Are all business associate agreements the same?
No. Given the ubiquity of the Business Associate Agreement (“BAA”) in healthcare, many assume that it is a boilerplate agreement (i.e., a standardized agreement with the same terms every time).
For a BAA, is the output different for a covered entity vs. a business associate?
Yes, when appropriate. Since contract clauses may be different to shift risk from one party to another, then the suggestions are based upon one’s position in the negotiation.
Does LegalMente redline/blackline a contract?
No. LegalMente does not replace humans who should be the ones actually revising an agreement. To revise an agreement is to provide legal advice and one should always consult with an attorney or decide on their own whether or not attorney legal advice is needed.
